Sponsored by the ACBA Cannabis and Real Estate Section

Please join us for a program on commercial real estate transactions and commercial leases in the California cannabis industry. Cannabis transactions are complicated due to the lack of accessible banking (because federally regulated banks cannot handle funds associated with cannabis) for the interested parties. We will discuss strategies and structures for transactions that are subject to the limitations within the industry. Our panelists will also discuss zoning concerns for parties seeking real estate for a commercial cannabis business.

In Wayfair, the United States Supreme Court reversed over half a century of sales/use tax nexus jurisprudence by eliminating the constitutional requirement that an out-of-state seller have an in-state physical presence before it may be required to collect and remit sales/use tax.  The states are now scrambling to adopt new state laws to enable sales/use tax collection from such sellers.  This program will provide an update on how California and other states have or are proposing to implement Wayfair, and address various issues faced by remote sellers as a result of Wayfair, which expand beyond sales/use tax into other state and local business taxes.

In this real estate-probate crossover presentation, Julie Woods, Research Attorney for the Probate Department of the Contra Costa County Superior Court, will lead attorneys through the fundamentals of partition actions. The presentation will explain methods and steps to partition, relevant authority, bases of attorney’s fees and costs, and potentially related causes of action including some probate crossover. Although clients may feel plagued by the co-ownership of property, partition is a means of severing such bondage without forfeiting one’s rights to an interest in property. Join us in this entertaining engagement where “it shall be written, and it shall be done!”
