    This Webinar will provide an overview of factors for clients to consider when choosing among corporations, limited liability companies, and limited partnerships, including fiduciary duties, California’s long-arm statute (Section 2115), and other considerations, and will review the steps and documentation needed to form and maintain each type of entity in both California and Delaware, including how to: prepare and submit Secretary of State filings; draft organizational documents; manage ongoing corporate governance requirements; and properly capitalize the entities.  In discussing these topics, the presenters will highlight particular nuances, best practices, and potential pitfalls and practical tips.

    Soyeun D. Choi currently serves as Chair of the California Lawyers Association’s Partnerships and Limited Liability Committee. Ms. Choi practices in the areas of business and intellectual property law, with global clients operating across a range of industries. Past activities include time served as President of the Palo Alto Area Bar Association (PAABA), Chair of the PAABA IP Committee, Chair of the San Mateo County Bar Association (SMCBA) IP Committee and SMCBA Diversity Committee Vice Chair; Guest Lecturer at Stanford University, for East Palo Alto Community Legal Services and Girls Innovate! Ms. Choi was named a Northern California Rising Star by Super Lawyers Magazine in 2011, the same year she ran three half marathons and Bay to Breakers. Ms. Choi received her JD from the University of California at Los Angeles School of Law.

     

    Julie Ryan

    Julie Ryan is a partner with Acceleron Law Group, LLP in Los Angeles, where she advises start-ups and other companies on strategic and business transactions, including mergers & acquisitions, equity and debt financing, entity structuring, commercial transactions, and securities laws. Previously, Julie was a partner at Russ August & Kabat, a Los Angeles-based firm, and prior to that practiced at Akin Gump Strauss Hauer & Feld and at Clifford Chance Rogers & Wells in Washington, D.C., in the fields of cross-border finance, securities, and international mergers and acquisitions. Julie also enjoys teaching and mentoring young lawyers. She is currently Head of Experiential Learning at AltaClaro, an innovative online legal-skills training platform, and has served on the faculties of the University of Southern California Gould School of Law and Loyola Law School, teaching business planning, M&A, contract drafting, and advanced legal writing.     Shabnam Malek

     

    Shabnam Malek is a partner at Brand & Branch LLP and co-founder and President of the National Cannabis Bar Association. She advises clients on domestic and international growth, strategic expansion strategies, intellectual property development and enforcement, and regulatory compliance. She also represents clients in disputes and state and federal litigation—work that gives her valuable insight and perspective when drafting and negotiating agreements for clients. Shabnam also advises on advertising law, privacy law, and all things internet. Shabnam's professional affiliations include the International Trademark Association and California Bar Association, where she serves on committees, the American Civil Liberties Union, the National Lawyers Guild, the Queen’s Bench, the Bar Association of San Francisco, and Women Grow, where she served as a founding co-chair of the Bay Area chapter. She regularly speaks about intellectual property issues pertaining to the cannabis industry and on trademark protection matters generally. Shabnam has been named a Northern California Rising Star three years in a row by Super Lawyers Magazine.

     

    Mary Shapiro

     

    Mary Shapiro is an attorney specializing in trademark, copyright, and internet law. A former client of intellectual property legal services, her focus is on effectively enhancing and protecting the value of her client’s intellectual property, in a practical and efficient manner. She offers clients worldwide protection through a valued network of local international counsel.


    Following a career in book publishing, she began practicing law in 1999 at Townsend and Townsend and Crew LLP, then the largest specialized intellectual property firm in the West. Mary began her solo practice in 2009, continuing her day-to-day work clearing, filing, prosecuting, and enforcing trademarks in the U.S. and around the world. Her cannabis practice began in earnest in 2009 and she has since federally registered marks for many cannabis businesses, though none for cannabis products, due to the federal prohibition to registering such marks. The registrations, for educational services, providing information about medical cannabis, and public advocacy in support of legalizing cannabis, create a foothold to launch a challenge relative to any cannabis related goods or services. In 2016, Mary rebranded to Evoke Law.


    Mary is a founding member of the National Cannabis Bar Association (NCBA) and co-chairs its Content Committee.

     

    David Branfman, Moderator

     

     Dave Branfman has been practicing law in San Diego County for over thirty years. His practice focuses on intellectual property and entertainment law, including trademarks, domain names, copyrights, trade secrets, licensing, motion pictures & TV, and music. He has also developed a leading-edge specialty in the intersection between intellectual property law and the growing legal medical and recreational marijuana industries and speaks regularly on this subject. He received his law degree from the University of San Diego in 1978. He is an instructor on intellectual property law at the UCSD (University of California, San Diego) Executive Perspective for Scientists & Engineers program. Dave has spoken multiple times at various cannabis sector events including NORML Legal Committee conferences, the Ganjier Spring Kickoff, the International Cannabis Business Conference, Thomas Jefferson School of Law, and the University of San Francisco School of Law. He was Chairman of the Board of the San Diego Film Commission from 1998 – January 2000 and was a member of the Board of Directors from 1998 – 2007.  He is also a regular speaker at Comic-Con and has been selected as a Southern California Super Lawyer® in intellectual property six times since 2007 including most recently this year.

    "One of the constant criticisms of the Washington limited license legal technician is that there only around 30 licensed technicians so far—even though the program is still in its infancy. A second challenge is that, currently, the LLLT cannot represent a client in court.

     

    In many jurisdictions that are considering LTs, or something similar, the impetus is not just to deter the unauthorized practice of law and protect consumers but to also reduce the number of unrepresented litigants. Here, I will examine the apparent contradiction to reduce this unrepresented number with programs that recommend creation of LTs that cannot represent clients by comparing the proposed LT programs in Oregon and Utah with the New York City Court Navigator Program and the Ontario, Canada, paralegal program."

    In the 45 years since Roe v. Wade was decided, it has been a focal point for both anti-abortion and pro-abortion rights groups. But the opinion in the 1973 case has also been used by activists of liberal, libertarian and conservative ideologies to develop privacy arguments for issues ranging from access to experimental drugs to euthanasia to personal data security to sex worker rights.

    In this episode of the Modern Law Library, the ABA Journal’s Lee Rawles speaks with Mary Ziegler, author of the new book Beyond Abortion: Roe v. Wade and the Battle for Privacy. Ziegler discusses what Roe v. Wade’s legacy has been, and how it advanced—or failed to advance—Americans’ right to privacy. She also speculates on what the impact would be for society and the U.S. legal system if Roe were overturned today.
