Description:
This Webinar will provide an overview of factors for clients to consider when choosing among corporations, limited liability companies, and limited partnerships, including fiduciary duties, California’s long-arm statute (Section 2115), and other considerations, and will review the steps and documentation needed to form and maintain each type of entity in both California and Delaware, including how to: prepare and submit Secretary of State filings; draft organizational documents; manage ongoing corporate governance requirements; and properly capitalize the entities. In discussing these topics, the presenters will highlight particular nuances, best practices, and potential pitfalls and practical tips.

Soyeun Choi
Soyeun D. Choi currently serves as Chair of the California Lawyers Association’s Partnerships and Limited Liability Committee. Ms. Choi practices in the areas of business and intellectual property law, with global clients operating across a range of industries. Past activities include time served as President of the Palo Alto Area Bar Association (PAABA), Chair of the PAABA IP Committee, Chair of the San Mateo County Bar Association (SMCBA) IP Committee and SMCBA Diversity Committee Vice Chair; Guest Lecturer at Stanford University, for East Palo Alto Community Legal Services and Girls Innovate! Ms. Choi was named a Northern California Rising Star by Super Lawyers Magazine in 2011, the same year she ran three half marathons and Bay to Breakers. Ms. Choi received her JD from the University of California at Los Angeles School of Law.
Julie Ryan
Julie Ryan is a partner with Acceleron Law Group, LLP in Los Angeles, where she advises start-ups and other companies on strategic and business transactions, including mergers & acquisitions, equity and debt financing, entity structuring, commercial transactions, and securities laws. Previously, Julie was a partner at Russ August & Kabat, a Los Angeles-based firm, and prior to that practiced at Akin Gump Strauss Hauer & Feld and at Clifford Chance Rogers & Wells in Washington, D.C., in the fields of cross-border finance, securities, and international mergers and acquisitions. Julie also enjoys teaching and mentoring young lawyers. She is currently Head of Experiential Learning at AltaClaro, an innovative online legal-skills training platform, and has served on the faculties of the University of Southern California Gould School of Law and Loyola Law School, teaching business planning, M&A, contract drafting, and advanced legal writing. She received her law degree from Georgetown University Law Center. Julie is an active member of the California Lawyers Association Corporations Committee and frequently presents seminars and workshops on securities and business law topics.
